You can find our previous Terms of Service as of March 4, 2026 here
These User Terms of Service (“User Terms”) are a binding agreement between you and Eolas Inc. (“Eolas,” “we,” “us”). They govern your access to and use of Eolas’s services, web and mobile applications, and related tools (the “Services”). These User Terms are published at eolas.co/terms/user. By creating an account and signing in to the Services, or by continuing to use them after notice of a change to these User Terms, you agree to be bound by them.
An organization we call “Customer” - for example, the owner or manager of a property where you work - has invited you to use the Services under its account and has a separate agreement with Eolas (the “Customer Agreement”). Data submitted to or collected by the Services under Customer’s account (“Customer Data”) is controlled by Customer for purposes of your use of the Services, and Customer’s choices and settings - including access, permissions, retention, and deletion - determine how Customer Data is handled. Eolas processes Customer Data at Customer’s direction under the Customer Agreement. Where the organization that invited you operates a property under another organization’s Eolas subscription, that other organization’s settings and agreement govern the data for that property, and Customer may not be able to change them. As between Eolas and Customer, their respective rights in Customer Data are governed by the Customer Agreement. Customer may suspend or end your access at any time. These User Terms apply only to individuals who are given an account and sign in to the Services. They do not apply to, and do not bind, any individual who does not have an account and sign in, whether or not that person is present at a property where the Services are used.
As between Eolas and Customer, it is solely Customer’s responsibility to: (a) inform you of Customer’s policies and of settings that affect the Services and Customer Data; (b) obtain any rights, permissions, or consents needed for you to use the Services and for Customer Data to be processed lawfully; and (c) respond to and resolve any dispute between you and Customer relating to Customer Data or the Services.
The Services include monitoring, detection, and notification technology, including artificial-intelligence features, and surface what they detect as Events. AI outputs are probabilistic: they can be inaccurate or incomplete, and they can miss events entirely. THE SERVICES ARE NOT AN EMERGENCY SERVICE AND DO NOT CONTACT POLICE, FIRE, OR MEDICAL RESPONDERS FOR YOU. IF YOU BELIEVE THERE IS AN EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER. At properties where Customer has arranged professional monitoring, a licensed third-party provider - not Eolas - may attempt to reach responders for video security events and, if the property has turned the feature on, in response to a request you send through the Services. Eolas transmits that request; it does not decide what happens next, and it does not contact responders itself. Response is not guaranteed, and it is never a substitute for contacting emergency services yourself. The Services are asset-protection technology, not a life safety system: they are not a fire, smoke, heat, or carbon monoxide detection system, and they do not replace any alarm or life safety system your property is required to have. Events may not be generated, delivered, or received on time - delivery depends on sensors, batteries, power, networks, carriers, and your own device settings - and the absence of an Event does not mean nothing is wrong. Customer, not Eolas, decides who receives Events and what happens next; follow Customer’s procedures for responding. If the Services let you turn on lights or speak to people in a common area, you are responsible for using those features consistently, lawfully, and in line with Customer’s procedures. Speaking through the Services transmits audio into that common area and, where Customer has enabled recording, may record it. These features are for common areas only. Customer is not permitted to use them inside a dwelling unit, guest room, restroom, locker room, changing or fitting area, shower or bath area, medical or treatment area, or other area where a reasonable expectation of privacy exists, and Eolas may disable a feature it finds deployed there. Where Customer turns it on, the Services may also listen in common areas for the sound of a smoke or carbon monoxide alarm that has already gone off and send you an Event saying that sound was heard. That is not fire, smoke, or carbon monoxide detection - the alarm itself does the detecting, and the property is responsible for installing, maintaining, and testing it. The sound may not be audible to the Services, and you should never wait for an Event in an emergency. You are responsible for exercising your own judgment about information the Services provide.
You must keep your login credentials secure, not share your account, use the Services only as authorized by Customer and these User Terms, and comply with applicable law. You must not misuse, interfere with, or disrupt the Services; attempt to access data or accounts you are not authorized to access; copy, extract, scrape, or reverse engineer any part of the Services (including any software or AI models); or use the Services to harm others or violate anyone’s rights or privacy. You must be at least 18 years old to use the Services, and you represent that you are the intended recipient of Customer’s invitation.
Eolas grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use Eolas’s mobile applications (the “Apps”) on devices you own or control, solely to access the Services as permitted by these User Terms. The Apps may update automatically. This license ends when your access to the Services ends. If you choose to unlock an App using your device’s own authentication feature, such as Face ID or Touch ID, that check is performed by your device and your device tells the App only whether it succeeded; Eolas does not receive or store your fingerprint, face data, or any other biometric information. If you obtained an App from the Apple App Store or Google Play: these User Terms are between you and Eolas only - not with Apple Inc. or Google LLC; Apple and Google are not responsible for the Apps or their content and have no maintenance, support, warranty, or claims obligations with respect to them; your use of the Apps must comply with the applicable store’s terms and usage rules; and Apple and its subsidiaries are third-party beneficiaries of this Section 6 and may enforce it against you. In the event any App fails to conform to an applicable warranty, you may notify Apple and Apple will refund any purchase price paid for that App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Apps.
If Eolas believes these User Terms have been violated, Eolas will ordinarily ask Customer to address the issue. Eolas may act directly - including suspending or disabling your access - if Customer does not take appropriate action or if Eolas believes there is a credible risk of harm to Eolas, the Services, or any person.
These User Terms apply until your access to the Services is ended by Customer or Eolas or Customer’s subscription expires or terminates or, where Customer keeps data with Eolas after its subscription ends, until Customer’s retained-data access ends. Contact Customer if you wish to deactivate your account, including if you disagree with an update to these User Terms.
THE SERVICES ARE PROVIDED TO YOU “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Nothing in these User Terms limits any rights you have under applicable law that cannot be limited by agreement.
NEITHER YOU NOR EOLAS WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. UNLESS YOU ARE ALSO A CUSTOMER, YOU WILL HAVE NO FINANCIAL LIABILITY TO EOLAS FOR A BREACH OF THESE USER TERMS, AND EOLAS’S TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE USER TERMS IS LIMITED TO ONE HUNDRED DOLLARS ($100). WHERE CLAIMS UNDER THESE USER TERMS BY YOU AND ONE OR MORE OTHER USERS, OR A CLAIM UNDER THESE USER TERMS AND A CLAIM UNDER THE CUSTOMER AGREEMENT, ARISE FROM THE SAME OR SUBSTANTIALLY RELATED FACTS, CIRCUMSTANCES, ACTS, OMISSIONS, EVENTS, OR INCIDENTS, AMOUNTS EOLAS PAYS OR OWES YOU UNDER THESE USER TERMS COUNT AGAINST AND REDUCE THE AMOUNT REMAINING AVAILABLE TO CUSTOMER UNDER THE CUSTOMER AGREEMENT FOR THAT MATTER. THE ONE HUNDRED DOLLAR ($100) LIMIT IN THIS SECTION APPLIES TO YOU INDEPENDENTLY OF THE CUSTOMER AGREEMENT AND IS NOT REDUCED, CONDITIONED, OR EXHAUSTED BY ANY AMOUNT EOLAS PAYS OR OWES CUSTOMER OR ANY OTHER PERSON. IF ANY PART OF THIS PARAGRAPH IS HELD UNENFORCEABLE, THE ONE HUNDRED DOLLAR ($100) LIMIT AND EVERY OTHER LIMITATION IN THIS SECTION REMAIN IN FULL FORCE AND EFFECT. THE CUSTOMER AGREEMENT IS REFERENCED IN THIS SECTION SOLELY TO IDENTIFY THAT LIMITATION: YOU ARE NOT A PARTY TO OR THIRD-PARTY BENEFICIARY OF THE CUSTOMER AGREEMENT, YOU ACQUIRE NO RIGHT TO ENFORCE IT OR ANY WARRANTY, SERVICE LEVEL, INDEMNITY, SECURITY OBLIGATION, OR OTHER OBLIGATION UNDER IT, AND NOTHING IN THIS SECTION CREATES ANY OBLIGATION OF EOLAS TO YOU OR ANY CLAIM YOU WOULD NOT OTHERWISE HAVE. THESE LIMITATIONS DO NOT APPLY TO CLAIMS FOR DEATH OR BODILY INJURY TO THE EXTENT CAUSED BY EOLAS’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, TO EOLAS’S WILLFUL MISCONDUCT OR FRAUD, TO THE EXTENT PROHIBITED BY APPLICABLE LAW, AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK EQUITABLE RELIEF.
The Eolas Privacy Policy (eolas.co/trust/privacy) describes how Eolas handles personal information in connection with the Services, including the limited information Eolas handles about you as a user in its own right. Cameras, sensors, and monitoring devices at a property are deployed by or for Customer; questions or concerns about them should be directed to Customer. An organization that stops operating a property may keep the Eolas records from its period of operation, including records about you, under its agreement with Eolas; questions about those records go to that organization. Where more than one detection appears to involve the same person during an incident, the Services may associate those detections with one another using observable attributes such as apparel, build, approximate stature, and movement. That association does not use facial recognition or measurements of facial geometry, fingerprints, iris or retina patterns, or voiceprints, does not determine who a person is, and does not create or retain a lasting biometric identifier or template, and is not used to recognize anyone in a later incident. Eolas improves its detection technology using aggregated, deidentified data as described in the Privacy Policy, including feedback you give on Events. Customer may choose to make an optional Eolas feature that uses facial recognition or other biometric technology (a “Biometric Feature”) available. Customer’s decision to make a Biometric Feature available does not enroll you. Where a Biometric Feature depends on enrollment, Eolas will not process your biometric information for that feature unless you affirmatively choose to enroll, and Customer and its administrators cannot make that choice for you. Eolas may present additional disclosures, consents, releases, acknowledgments, or feature-specific terms as part of enrollment. You may withdraw your enrollment using the means Eolas provides, subject to retention permitted or required by applicable law and the applicable feature terms. Using your device’s own authentication feature, such as Face ID or Touch ID, to sign in is different: that check is performed by your device, Eolas receives only the authentication result, and it does not by itself enroll you in a Biometric Feature.
Eolas may update these User Terms from time to time. If a change is material, Eolas will provide reasonable advance notice by email or through the Services before it takes effect. Your use of the Services after the effective date of an update constitutes acceptance of the updated User Terms.
PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS. You and Eolas agree to resolve any dispute, claim, or controversy arising out of or relating to these User Terms or your use of the Services exclusively through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court, except that (a) either party may bring an individual claim in small claims court, and (b) either party may seek equitable relief in court for infringement or misuse of intellectual property or confidential information. The arbitration hearing locale will be determined under the applicable AAA rules. Judgment on the award may be entered in any court of competent jurisdiction. YOU AND EOLAS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING; ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITIES ONLY. If twenty-five (25) or more demands for arbitration raising similar claims are filed against Eolas by users represented by the same or coordinated counsel, the AAA’s Mass Arbitration Supplementary Rules, or any successor or comparable rules the AAA applies, will govern the administration and fees of those demands. In addition, the parties will proceed as follows: the parties will select up to ten (10) bellwether arbitrations, half selected by claimants’ counsel and half by Eolas, which will be heard first; the applicable statute of limitations will be tolled for every other demand from the date the first demand is filed until sixty (60) days after the last bellwether arbitration concludes; and within thirty (30) days after the bellwether arbitrations conclude the parties will participate in a global mediation before any further demands proceed. If the AAA declines to administer any arbitration under this Section, the parties will promptly agree on a substitute administrator applying comparable rules, and failing agreement either party may petition a court of competent jurisdiction to appoint one under 9 U.S.C. § 5. Opt-Out: You may opt out of this Section 13 by emailing legal@eolas.co within thirty (30) days after the later of (i) the date you first accept these User Terms and (ii) the effective date of any update that first adds, or materially changes, this Section 13, stating your full name and your intent to opt out; if you opt out, none of this Section 13 will apply to you, including the arbitration, batch, class-waiver, and jury-waiver provisions, any dispute between you and Eolas will instead be resolved in the courts identified in Section 14, and the remainder of these User Terms remains in effect. This Section does not apply to any dispute arising under the Customer Agreement, which contains its own dispute-resolution provisions. Nothing in this Section limits any rights you have under applicable law that cannot be limited by agreement.
Notices to Eolas should be sent to help@eolas.co. These User Terms are governed by the laws of the State of Delaware, excluding conflict of law principles. For any dispute not subject to arbitration under Section 13, and for actions to enforce this arbitration provision or an arbitral award, exclusive venue will be in the state or federal courts located in the State of Delaware, and each party consents to the jurisdiction of those courts. If any provision of these User Terms is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect; if the class waiver in Section 13 is held unenforceable as to a particular claim, that claim (and only that claim) must proceed in court rather than in arbitration. You may not assign these User Terms. If these User Terms conflict with the Customer Agreement, then as between Eolas and Customer the Customer Agreement controls; no such conflict reduces, conditions, or exhausts any amount available to you under Section 10. Customer is responsible for notifying you of any such conflict. These User Terms, together with the Privacy Policy, are the entire agreement between you and Eolas regarding your use of the Services. Sections 2, 3, 6, 9, 10, 11, 13, and 14 survive termination.
